Terms of Service

1. Acceptance of Terms
Welcome to Vision Prismhub. By accessing our website (https://vision-prismhub.click) or engaging our programming consulting and Startup CTO advisory services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, startup, or legal entity, you represent that you possess the legal authority to bind such entity.
2. Scope of Advisory Services
Vision Prismhub provides technical leadership counsel, codebase architecture diagnostics, hiring rubric design, and investor due diligence preparation. Our services are advisory and strategic in nature. While we provide recommendations based on industry best practices, the client retains sole discretion over all production deployment decisions, operational implementations, and commercial strategy.
3. Intellectual Property Rights
All custom architectural blueprints, technical documentation, evaluation reports, and hiring rubrics produced specifically for a client upon full payment of agreed fees become the exclusive intellectual property of the client. Vision Prismhub retains ownership of its pre-existing proprietary methodologies, assessment frameworks, and general advisory templates.
4. Confidentiality & Non-Disclosure
We treat all client codebases, repository contents, system architecture diagrams, financial metrics, and cap-table data with strict confidentiality. Standard bilateral Non-Disclosure Agreements (NDAs) are executed prior to deep repository inspection or data room review.
5. Limitation of Liability
To the maximum extent permitted by applicable law, Vision Prismhub shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, loss of profits, or business interruption arising out of or in connection with the implementation of advisory recommendations. Our total cumulative liability shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
6. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to its conflict of law principles. Any legal action or dispute arising under these Terms shall be subject to the exclusive jurisdiction of the district courts in New Taipei City or Taipei, Taiwan.
